These Terms of Service (“Terms”) govern your access to and use of Negivu.com and the websites, applications, software, artificial intelligence capabilities, communications, integrations, and related services provided by Negivu, LLC (“Negivu,” “we,” “us,” or “our”), collectively referred to as the “Services.”
Negivu is an artificial intelligence-powered business platform designed to provide executive intelligence, business monitoring, coordination, analysis, recommendations, workflow assistance, and authorized business actions.
By accessing or using the Services, you agree to these Terms.
If you are using the Services on behalf of a company or other organization, you represent that you have authority to accept these Terms on behalf of that organization.
If you do not agree to these Terms, you should not use the Services.
1. Eligibility
You must be legally capable of entering into a binding agreement to use the Services.
The Services are intended primarily for businesses and professional users and are not intended for children under the age of 13.
If you use Negivu on behalf of an organization, you are responsible for ensuring that your use is authorized by that organization.
2. The Negivu Platform
Negivu is being developed as an AI-powered business intelligence and executive operations platform.
Depending on the Services, subscription, configuration, and integrations available to you, Negivu may provide capabilities including:
AI-powered executive intelligence
Business monitoring
Executive briefings
Operational analysis
Financial analysis
Technology and security insights
Marketing and sales intelligence
Project and task analysis
Risk and opportunity identification
Business recommendations
Company knowledge and memory
Decision and approval management
Workflow coordination
Communications assistance
Business-system integrations
Automated or semi-automated workflows
Authorized business actions
Reports and analytics
Other AI-assisted business capabilities
Features may be added, modified, restricted, suspended, or removed as the platform evolves.
Some features may initially be made available only to development users, beta testers, early-access participants, or selected customers.
3. Artificial Intelligence
Negivu uses artificial intelligence and machine-learning technologies to provide portions of the Services.
AI-generated information may include:
Analysis
Recommendations
Summaries
Forecasts
Classifications
Executive briefings
Draft communications
Proposed actions
Business insights
Risk assessments
Opportunity assessments
Other generated information
Artificial intelligence is probabilistic and may occasionally produce inaccurate, incomplete, outdated, or inappropriate results.
You are responsible for evaluating information provided by Negivu before relying on it for material business decisions.
Negivu does not guarantee that AI-generated information will always be accurate, complete, or suitable for a particular purpose.
4. AI Executives
Negivu may provide specialized AI capabilities represented as executive or professional roles, such as an AI CEO, COO, CFO, CTO, CMO, CRO, or other executive, managerial, analytical, or specialist roles.
These titles describe the intended functional responsibilities of software capabilities.
Negivu’s AI executives are software systems and are not human officers, employees, directors, fiduciaries, attorneys, accountants, financial advisers, or other licensed professionals.
AI executive functionality is designed to assist human leadership.
It does not replace the legal authority, fiduciary responsibilities, professional judgment, or accountability of a company’s actual owners, officers, directors, employees, or advisers.
5. Human Authority and Control
Negivu is designed around human authority and controlled AI execution.
Depending on the applicable feature and customer configuration, Negivu may:
Observe information
Analyze information
Generate recommendations
Prepare proposed actions
Request authorization
Perform authorized actions
Monitor results
Escalate matters for human review
Customers are responsible for determining appropriate permissions and authority for their organization.
Certain actions may require human approval before Negivu performs them.
Customers should not grant Negivu or any integration more authority than is reasonably necessary for the intended business purpose.
6. Connected Business Systems
Negivu may allow you to connect third-party applications, platforms, APIs, and services.
These may include systems for:
Customer relationship management
Project management
Financial management
Accounting
Marketing
Sales
Communications
Email
Messaging
Calendar
Documents
File storage
Analytics
Automation
Technology infrastructure
Other business functions
When you authorize an integration, you authorize Negivu to access and interact with that system within the permissions you provide.
You are responsible for ensuring that you have authority to connect those systems and make the associated information available to Negivu.
Your use of third-party services remains subject to the applicable third party’s terms and policies.
Negivu is not responsible for the availability, accuracy, security, or performance of third-party services that we do not control.
7. Third-Party Technology Providers
Negivu may rely on third-party technology and infrastructure providers to deliver portions of the Services.
Depending on the Services and integrations being used, these providers may include companies providing:
Artificial intelligence models
Cloud infrastructure
Databases
Hosting
Content delivery
Cybersecurity
Telecommunications
SMS and messaging
Email
Customer relationship management
Project management
Authentication
Analytics
Monitoring
Payment processing
Automation
Other technology services
Current or anticipated providers and integrations may include services from companies such as Anthropic, OpenAI, Twilio, Microsoft, ClickUp, GoHighLevel, Cloudflare, Rocket.net, and other providers selected by Negivu.
The availability of any particular third-party provider or integration may change.
8. Accounts and Security
Certain Services may require an account.
You are responsible for:
Providing accurate account information
Maintaining the confidentiality of credentials
Protecting authentication methods
Controlling access to your account
Maintaining appropriate user permissions
Promptly notifying Negivu of suspected unauthorized access
You may not share credentials in a manner that compromises the security of the Services.
You are responsible for activity conducted through your account unless otherwise required by applicable law.
9. Acceptable Use
You may not use Negivu to:
Violate applicable law
Infringe intellectual-property rights
Commit or facilitate fraud
Gain unauthorized access to systems or information
Distribute malware or malicious software
Circumvent security controls
Interfere with the operation of the Services
Conduct unlawful surveillance
Harass, threaten, or harm others
Send unlawful or unsolicited communications
Misrepresent your identity or authority
Attempt to obtain unauthorized access to another customer’s data
Use the Services in a manner that creates unreasonable security or operational risks
Circumvent usage, permission, approval, or governance controls
Use automated functionality for activities prohibited by applicable law or telecommunications requirements
Negivu may restrict or suspend access when reasonably necessary to protect the platform, customers, users, third parties, or Negivu.
10. SMS and Text Messaging Terms
Negivu may provide text messaging through SMS, MMS, RCS, or similar technologies.
Messaging services may be provided using Twilio or other telecommunications and messaging providers.
By voluntarily providing your mobile telephone number and expressly opting in to a Negivu messaging program, you consent to receive messages from Negivu at the number provided for the specific messaging purpose disclosed when you opt in.
Messages may include, depending on the program for which you have provided consent:
Account notifications
Security alerts
Verification messages
Executive alerts
Approval requests
Operational notifications
Business-system notifications
Requested information
Customer-support communications
Product or service updates
Other messages specifically described at the time of consent
Message Frequency
Message frequency varies depending on your account activity, preferences, and the specific Negivu messaging program for which you have provided consent.
Message and Data Rates
Message and data rates may apply.
Your mobile carrier’s standard messaging and data charges may apply to messages sent or received.
Opting Out
You may opt out of a Negivu messaging program at any time by replying:
STOP
to the applicable message.
You may receive one final message confirming that your opt-out request has been processed.
After opting out, you will no longer receive messages from that messaging program unless you subsequently provide consent again.

Consent
Consent to receive marketing or promotional text messages is not a condition of purchasing Negivu products or Services.
Where messaging is optional, you may decline SMS consent and continue using otherwise available Services.
Consent applies only to the specific Negivu messaging program and subject matter disclosed when consent is obtained.
Providing consent for one type of message does not automatically provide consent for unrelated messaging programs.
Automated Messaging
Certain messages may be sent using automated technology.
By opting in, you consent to receive automated messages for the specific purpose disclosed at the time you provide consent.
Carrier Liability
Wireless carriers are not liable for delayed or undelivered messages.
Message delivery is subject to effective transmission by your wireless carrier and other telecommunications providers.
Mobile Information
Negivu does not sell, rent, or share mobile telephone numbers, SMS opt-in information, or text messaging consent with third parties or affiliates for their own marketing or promotional purposes.
Messaging information may be provided to telecommunications carriers, messaging providers, aggregators, and service providers only as reasonably necessary to operate and deliver the messaging service.
Text messaging originator opt-in data and consent will not be transferred to third parties for their independent marketing or promotional purposes.
11. Customer Messaging Through Negivu
Certain Negivu Services may eventually allow business customers to communicate with their own customers, employees, prospects, vendors, or other recipients.
If you use Negivu to send communications to third parties, you are responsible for obtaining all legally required consent before sending those communications.
You must:
Obtain appropriate consent from each recipient
Maintain evidence of consent where required
Clearly identify the sender
Send only messages within the scope of the consent obtained
Honor opt-out requests
Maintain appropriate suppression records
Comply with applicable telecommunications laws
Comply with carrier requirements
Comply with applicable messaging-provider policies
Comply with applicable industry standards
You may not use Negivu to send unsolicited bulk messaging, spam, or communications to recipients who have not provided the required consent.
Negivu may suspend messaging functionality if we reasonably believe it is being used in violation of these requirements.
12. Email and Other Communications
Negivu may send email and other electronic communications relating to:
Your account
Security
Product functionality
Support
Transactions
Service announcements
Product updates
Early-access programs
Other communications permitted by law
Where required, marketing communications will include appropriate unsubscribe mechanisms.
Certain transactional, administrative, security, or account-related communications may be necessary to provide the Services and may not be subject to marketing opt-out preferences.
13. Customer Data
As between Negivu and the customer, customers retain their rights in information they submit to the Services, subject to the rights necessary for Negivu to operate and provide the Services.
You grant Negivu the rights reasonably necessary to:
Host customer data
Process customer data
Transmit customer data
Analyze customer data
Display customer data
Create requested outputs
Operate authorized integrations
Provide AI functionality
Secure and maintain the Services
Negivu does not acquire ownership of a customer’s underlying business information merely because the information is processed through the platform.
Additional data-processing terms may apply to commercial customers.
14. Confidential Business Information
Negivu recognizes that customers may provide sensitive or confidential business information.
We will use reasonable administrative, technical, and organizational measures designed to protect information entrusted to the platform.
Customers remain responsible for determining what information is appropriate to provide to Negivu and for configuring appropriate permissions for users and connected systems.
15. Privacy
Your use of the Services is also governed by the Negivu Privacy Policy.
The Privacy Policy describes how Negivu collects, processes, uses, discloses, retains, and protects personal information.
The Privacy Policy is available publicly on Negivu.com.
16. Intellectual Property
The Services, including Negivu software, designs, interfaces, technology, documentation, trademarks, logos, platform architecture, and other proprietary materials, are owned by Negivu or its licensors and are protected by applicable intellectual-property laws.
Except for rights expressly granted under these Terms, no rights are transferred to you.
You may not:
Copy or reproduce protected portions of the Services except as permitted by law
Reverse engineer the Services except where such restriction is prohibited by law
Remove proprietary notices
Misrepresent ownership of Negivu technology
Use Negivu trademarks without authorization
17. Feedback
If you provide suggestions, ideas, feedback, or recommendations regarding Negivu, you authorize us to use that feedback to develop and improve the Services without restriction or compensation to you.
This does not transfer ownership of your underlying confidential business information to Negivu.
18. Beta and Early-Access Services
Negivu may provide beta, development, preview, experimental, or early-access functionality.
Such functionality may:
Be incomplete
Contain errors
Change without notice
Be unavailable periodically
Produce unexpected results
Be discontinued
Beta and early-access functionality should not be relied upon for critical business operations unless Negivu expressly states otherwise.
19. Professional Advice Disclaimer
Negivu may analyze information relating to finance, technology, operations, marketing, sales, legal matters, security, or other business functions.
Unless expressly stated otherwise in a separate agreement:
Negivu does not provide legal, accounting, tax, investment, medical, or other regulated professional advice.
AI-generated information should not replace advice from qualified professionals when professional advice is appropriate or legally required.
20. Service Availability
We work to provide reliable Services but do not guarantee uninterrupted availability.
The Services may occasionally be unavailable due to:
Maintenance
Upgrades
Infrastructure failures
Third-party outages
Internet disruptions
Security events
Force majeure events
Other circumstances
Negivu may modify or discontinue features as the platform evolves.
21. Fees and Subscriptions
Certain Negivu Services may require payment.
Pricing, subscription terms, usage allowances, renewal terms, and cancellation provisions applicable to paid Services will be disclosed when those Services become commercially available or in the applicable customer agreement.
Additional terms may apply to enterprise or customized Services.
22. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis.
Negivu does not warrant that:
The Services will always be uninterrupted
The Services will always be error-free
AI-generated information will always be accurate
Every risk or opportunity will be identified
Every integration will remain available
The Services will meet every customer’s particular requirements
Nothing in these Terms excludes warranties that cannot lawfully be excluded.
23. Limitation of Liability
To the maximum extent permitted by applicable law, Negivu will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the Services.
This may include loss of profits, revenue, business opportunities, goodwill, or data.
Any additional limitations applicable to commercial subscriptions may be established in the applicable customer agreement.
Nothing in these Terms limits liability that cannot legally be limited.
24. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Negivu, LLC and its officers, employees, contractors, and affiliates from claims, liabilities, damages, losses, and expenses arising from:
Your unlawful use of the Services
Your violation of these Terms
Your violation of third-party rights
Communications you send through the Services without required consent
Your unauthorized connection to third-party systems
Information or instructions you provide to Negivu in violation of law or third-party rights
25. Suspension and Termination
Negivu may suspend or terminate access to the Services when reasonably necessary because of:
Violation of these Terms
Security risks
Fraud
Abuse
Nonpayment
Legal requirements
Threats to the platform or other users
You may discontinue use of the Services at any time, subject to applicable subscription or contractual obligations.
Certain provisions of these Terms will survive termination where their nature requires survival.
26. Changes to These Terms
Negivu is an evolving technology platform.
We may update these Terms as our Services, integrations, business model, or legal obligations change.
When material changes are made, we will update the Last Updated date and provide additional notice where required by law.
Continued use of the Services after updated Terms become effective constitutes acceptance where permitted by applicable law.
27. Governing Law
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Any additional dispute-resolution provisions applicable to paid or enterprise Services may be established in the applicable customer agreement.
28. Entire Agreement
These Terms, together with the Negivu Privacy Policy and any additional agreements applicable to specific Services, constitute the agreement between you and Negivu concerning use of the Services.
If a separate written agreement between Negivu and a customer conflicts with these Terms, the separate written agreement will control to the extent of that conflict.
